Frank – Terms & Conditions of Use

(AI-Powered Fractional CFO Service)

These Terms & Conditions (“Terms”) govern your use of Frank, an AI-powered financial and strategic discussion tool provided by Fractionality Limited (“Fractionality”, “we”, “us”, “our”).

By accessing or using Frank, you confirm that you have read, understood, and agree to be bound by these Terms.

1. What Frank Is (and Is Not)

1.1 Frank is an AI-powered financial discussion and decision-support tool, designed to help founders, CEOs, and senior leaders think through strategic, financial, and commercial topics.

1.2 Frank does not provide regulated financial advice, accounting services, tax advice, legal advice, investment advice, medical advice, or any other professional or regulated service.

1.3 Frank is not a substitute for a qualified professional, including but not limited to:

  • A Chartered Accountant

  • A regulated financial adviser

  • A tax adviser

  • A solicitor

  • A qualified or engaged CFO or finance professional

1.4 Any outputs provided by Frank are general, informational, and indicative only, and may be incomplete, outdated, incorrect, or inappropriate for your specific circumstances.

2. AI Limitations and Risk Acknowledgement

2.1 You acknowledge and agree that:

  • Frank is powered by artificial intelligence.

  • AI systems can and do make mistakes, generate inaccuracies, or misunderstand context.

  • Outputs are generated probabilistically and are not guaranteed to be correct or complete.

2.2 You agree that any decisions you make based on information from Frank are made entirely at your own risk.

2.3 You agree to independently verify any information provided by Frank before acting on it, including by consulting an appropriately qualified professional.

3. No Reliance and No Liability for Decisions

3.1 You agree that you will not rely solely on Frank when making business, financial, tax, legal, employment, fundraising, investment, or strategic decisions.

3.2 To the fullest extent permitted by law:

  • Fractionality accepts no responsibility or liability for any loss, damage, cost, or consequence arising from your use of Frank.

  • This includes (without limitation) loss of profits, loss of opportunity, business interruption, reputational damage, tax penalties, regulatory issues, or failed transactions.

3.3 Frank does not review your full circumstances, documents, contracts, cap tables, financial models, or regulatory position unless explicitly stated otherwise.

4. No Professional Relationship

4.1 Use of Frank does not create:

  • A client relationship

  • A professional engagement

  • A fiduciary duty

  • A CFO–client relationship

4.2 Any engagement with a human CFO or adviser from Fractionality or its network must be separately agreed in writing and governed by its own engagement terms.

5. Confidentiality and Data Use

5.1 Frank is designed to operate as a confidential discussion tool.

5.2 Conversations may be:

  • Logged for operational purposes

  • Reviewed for quality control

  • Used to improve service performance
    but are not used to train public AI models.

5.3 You must not input:

  • Personal data you do not have the right to share

  • Highly sensitive personal data

  • Information that would breach confidentiality obligations to third parties

6. Beta Use and Availability

6.1 Frank may be offered free or in beta for a limited period.

6.2 We make no guarantees regarding:

  • Availability

  • Accuracy

  • Performance

  • Feature continuity

6.3 We may modify, suspend, or withdraw Frank at any time without notice.

7. Intellectual Property

7.1 Frank, its name, branding, prompts, structure, and outputs are owned by or licensed to Fractionality.

7.2 You may use outputs for your internal business purposes but may not:

  • Resell them

  • Represent them as professional advice

  • Use them to train competing AI systems

8. Name Clarification and Non-Affiliation

8.1 Frank is a commercial AI product operated by Fractionality Limited.

8.2 Frank is not affiliated with, endorsed by, or connected to:

  • Any government department

  • Any NHS, public health, or health-agency initiative

  • Any drug, medical, or public-information helpline

  • Any other organisation or service that may use the name “Frank”

8.3 Any similarity in name is coincidental, and no association should be inferred.

9. Acceptable Use

You agree not to use Frank:

  • For unlawful purposes

  • To obtain regulated advice without proper authorisation

  • To misrepresent AI outputs as professional advice

  • To upload malicious or harmful content

10. Limitation of Liability

10.1 To the maximum extent permitted by law:

  • Fractionality’s total liability in connection with Frank shall be nil.

  • Where liability cannot be excluded, it shall be limited to £1.

10.2 Nothing in these Terms limits liability for fraud or other liability that cannot legally be excluded.

11. Governing Law

11.1 These Terms are governed by the laws of England and Wales.

11.2 Any disputes shall be subject to the exclusive jurisdiction of the English courts.

12. Relationship to Fractionality Terms

12.1 These Terms apply specifically to Frank.

12.2 Where they conflict with Fractionality’s general Terms & Conditions, these Terms take precedence for Frank-related use.
