Frank – Terms & Conditions of Use

(AI-Powered Fractional CFO Service)

These Terms & Conditions (“Terms”) govern your use of Frank, an AI-powered financial and strategic discussion tool provided by Fractionality Limited (“Fractionality”, “we”, “us”, “our”).

By accessing or using Frank, including by creating an account or saving chats, you confirm that you have read, understood, and agree to be bound by these Terms.

1. What Frank Is (and Is Not)

1.1 Frank is an AI-powered financial and strategic discussion tool, designed to help founders, CEOs, and senior leaders think through business, financial, and commercial topics.

1.2 Frank does not provide regulated financial advice, accounting services, tax advice, legal advice, investment advice, medical advice, or any other regulated or professional service.

1.3 Frank is not a substitute for a qualified professional, including but not limited to:

  • A Chartered Accountant

  • A regulated financial adviser

  • A tax adviser

  • A solicitor

  • A qualified or engaged Chief Financial Officer or other finance professional

1.4 Any outputs provided by Frank are general, informational, and indicative only, and may be incomplete, outdated, incorrect, or inappropriate for your specific circumstances.

2. AI Limitations and Risk Acknowledgement

2.1 You acknowledge and agree that:

  • Frank is powered by artificial intelligence

  • AI systems can and do make mistakes

  • Outputs are generated probabilistically and are not guaranteed to be accurate or complete

2.2 You agree that any decisions you make based on information from Frank are made entirely at your own risk.

2.3 You agree to independently verify any information provided by Frank before acting on it, including by consulting an appropriately qualified professional.

3. No Reliance and No Liability for Decisions

3.1 You agree that you will not rely solely on Frank when making business, financial, tax, legal, employment, fundraising, investment, or strategic decisions.

3.2 To the fullest extent permitted by law, Fractionality accepts no responsibility or liability for any loss, damage, cost, or consequence arising from your use of Frank, including (without limitation):

  • Loss of profits or revenue

  • Loss of opportunity

  • Business interruption

  • Reputational damage

  • Tax penalties

  • Regulatory issues

  • Failed transactions

3.3 Frank does not review your full circumstances, documents, contracts, cap tables, financial models, or regulatory position unless explicitly stated otherwise.

4. No Professional or Fiduciary Relationship

4.1 Use of Frank does not create:

  • A client relationship

  • A professional engagement

  • A fiduciary duty

  • A CFO–client relationship

4.2 Any engagement with a human CFO, adviser, or consultant from Fractionality or its network must be separately agreed in writing and governed by its own engagement terms.

5. Accounts and Saved Chats

5.1 You may choose to create an account to access additional features, including the ability to save and access previous chats.

5.2 Account creation requires you to provide accurate and complete information and to keep your login credentials secure.

5.3 Chats are only saved to your account where you give express permission.

5.4 Saved chats are provided for convenience only. You remain responsible for reviewing, exporting, and deleting saved content.

5.5 Fractionality may temporarily log chats for operational, security, and service-quality purposes, whether or not you create an account. These temporary logs are not intended for long-term storage.

6. Confidentiality, Data Use, and AI Training

6.1 Frank is designed as a confidential discussion tool.

6.2 Chat content:

  • Is not used to train any large language models (LLMs), whether public, private, or proprietary

  • Is not shared with third parties

  • Is not made publicly available

6.3 You must not input information that you do not have the right to share or that would breach confidentiality obligations to third parties.

7. Intellectual Property

7.1 Frank, its name, branding, prompts, structure, and underlying systems are owned by or licensed to Fractionality.

7.2 You may use outputs generated by Frank for your internal business purposes only. You may not resell, publish, or represent outputs as professional advice.

8. Acceptable Use

You agree not to use Frank:

  • For unlawful purposes

  • To obtain regulated advice without proper authorisation

  • To misrepresent AI outputs as professional advice

  • To upload malicious, misleading, or harmful content

9. Suspension and Termination

Fractionality may suspend or terminate access to Frank or user accounts at any time where required for security, legal, or operational reasons.

10. Name Clarification and Non-Affiliation

10.1 Frank is a commercial AI product operated by Fractionality Limited.

10.2 Frank is not affiliated with, endorsed by, or connected to:

  • Any government department

  • Any NHS or public health initiative

  • Any medical, drug, or public-information helpline

  • Any other organisation or service that may use the name “Frank”

10.3 Any similarity in name is coincidental, and no association should be inferred.

11. Limitation of Liability

11.1 To the maximum extent permitted by law:

  • Fractionality’s total liability in connection with Frank shall be nil

  • Where liability cannot be excluded, it shall be limited to £1

11.2 Nothing in these Terms limits liability for fraud or other liability that cannot legally be excluded.

12. Governing Law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction.

13. Relationship to Fractionality Terms

13.1 These Terms apply specifically to Frank.

13.2 Where they conflict with Fractionality’s general Terms & Conditions, these Terms take precedence for Frank-related use.
